Effective Date: 1st September 2021

These Terms and Services ("Terms") constitute a legally binding agreement between you ("Client", "you") and animatrix3d ("we", "our", "us", "Company") governing your use of our website, services, and any other related agreements made with us. By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Services Provided 

We offer animation production services, including but not limited to 2D animation, explainer videos, motion graphics, and custom animation solutions (the “Services”). The scope of work, deliverables, and timelines for each project will be outlined in a separate agreement or proposal shared with the Client before commencing work.
2. User Responsibilities
By engaging with our Services, you agree to:
    Provide accurate, complete information necessary for the project’s successful completion.
    Respond to our requests for feedback, assets, or approval in a timely manner to avoid project delays.
    Make payments as per the agreed-upon schedule and terms.
3. Quotations and Fees
We will provide a quote for our services after discussing the details of your project. Fees may vary based on the complexity, scope, and time required to complete the project. Any additional work outside of the agreed-upon scope will be subject to additional fees, which will be discussed with the Client prior to execution.
4. Payment Terms
    Payments are to be made according to the payment schedule detailed in the project proposal or contract.
    A non-refundable deposit of 50% of the total project fee may be required before commencing work.
    Final payment must be made upon project completion and before the delivery of final assets. We reserve the right to withhold final             deliverables until full payment is received.
5. Revisions and Changes
    Clients are entitled to a specified number of revisions as detailed in the project agreement. Any revisions exceeding this amount may          incur additional charges.
    Major changes or new requests that alter the scope of the project will be treated as a separate work order and billed accordingly.
6. Refund Policy
    At animatrix3d , we aim to ensure that you are satisfied with the services provided. However, due to the nature of our custom                     animation services, refunds will only be offered under the following conditions:
    Cancellation Before Work Begins: If the Client cancels the project before any work has started, we will refund the full amount of any            deposit or payment made, minus any administrative or processing fees.
    Partial Refunds: If the Client decides to cancel the project after work has commenced, a partial refund may be offered based on the            work completed at the time of cancellation. The refundable amount will be determined by the proportion of work completed and                  agreed upon by both parties. However, the initial deposit is non-refundable.
    Non-Refundable Services: Once final deliverables have been approved by the Client and delivered, no refunds will be issued.
    Force Majeure: In the event of delays or cancellations due to unforeseen circumstances beyond our control (e.g., natural disasters,            pandemics, technical failures), refunds will be handled on a case-by-case basis.
    Dissatisfaction with Deliverables: If the Client is dissatisfied with the final product, we will make reasonable efforts to resolve any                issues or provide revisions, according to the terms set out in the project agreement. However, refunds will not be provided solely                based on subjective dissatisfaction if the project has adhered to the original scope and specifications.

7. Intellectual Property
    Ownership of Deliverables: Upon final payment, all rights to the final deliverables will transfer to the Client, excluding any third-party            materials or software used in the creation of the deliverables.
    Company Ownership: We retain the rights to all pre-existing intellectual property, proprietary materials, tools, and techniques used in          the production of the project, unless otherwise agreed.
    Portfolio Use: We reserve the right to use completed work in our portfolio, on our website, and in promotional materials unless the             Client requests otherwise in writing.
8. Cancellation and Termination
    By Client: The Client may terminate the project at any time by providing written notice. However, payments made prior to termination         are non-refundable, and the Client may be billed for any work completed up to the date of cancellation.
    By Company: We reserve the right to terminate or suspend a project if the Client fails to comply with these Terms, fails to make                  timely payments, or engages in any conduct that may harm our business reputation.
9. Deadlines and Timelines
While we strive to meet all deadlines agreed upon, we are not responsible for delays caused by the Client’s failure to provide required assets, feedback, or approvals on time. Any delays from the Client may result in extensions to the project deadline.
10. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information provided by the other during the course of the project, unless required by law or written consent is given. This includes trade secrets, business strategies, and other sensitive data.
11. Limitation of Liability
To the maximum extent permitted by law, we will not be held liable for any direct, indirect, incidental, special, or consequential damages arising from your use of our Services, website, or any failure to meet deadlines or performance expectations.
12. Indemnification
You agree to indemnify and hold harmless animatrix3d  its employees, affiliates, and partners from any claims, liabilities, damages, or expenses arising from your breach of these Terms or any third-party claims related to your use of our Services.
13. Third-Party Services
We may work with third-party service providers in delivering certain aspects of the project (such as voice-over artists, sound designers, etc.). We are not responsible for any third-party service failures but will work diligently to resolve any issues related to them.
14. Governing Law
In performing its services under these terms, animatrix3d shall comply with all applicable USA laws, regulations and directives from time to time in force. For the avoidance of doubt, animatrix3d is not responsible however, for ensuring that the content of the project which is provided by the Client complies with all applicable laws, regulations and codes.
15. Changes to Terms
We may update these Terms from time to time. The updated version will be effective as soon as it is posted on our website, and your continued use of our Services indicates your acceptance of the updated Terms
